Terms of Service & End User License Agreement

PLEASE READ THIS AGREEMENT CAREFULLY BEFORE PURCHASING OR USING ANY ICEBOX SOFTWARE PRODUCTS.

1. LICENSE GRANT

Icebox Software grants you a non-exclusive, non-transferable license to use the purchased software ("Software") on a single computer. This license is bound to your computer's hardware and cannot be transferred to another machine without purchasing an additional license or contacting support for authorization.

2. PRODUCTS COVERED

These terms apply to all Icebox Software products, including but not limited to:

• MILK Professional (Monitoring Internet Latency Kit)
• COOKIES (Comprehensive Operations & Optimization Kit for IT Environment Solutions)
• Any future products released under the Icebox Software brand

3. PERMITTED USE

You may:

• Install and use the Software on one (1) computer per license
• Create backup copies for archival purposes only
• Use all features and tools included in the Software

4. RESTRICTIONS

You may NOT:

• Reverse engineer, decompile, or disassemble the Software
• Remove or modify any copyright notices or license information
• Share, distribute, or resell your license key
• Use the Software on multiple computers simultaneously with a single license
• Transfer your license to another person without written authorization from Icebox Software
• Use the Software for any illegal or unauthorized purpose

5. HARDWARE BINDING & LICENSE TRANSFERS

Each license is bound to your computer's hardware ID. If you need to transfer your license to a new computer due to hardware replacement or system upgrade, contact Icebox Software support at https://iceboxsoftware.org/support-portal.php

6. SYSTEM MODIFICATIONS

Some Icebox Software products may perform system administration tasks that modify Windows settings, registry entries, and system files. You acknowledge that:

• You are using the Software at your own risk
• Icebox Software is not responsible for system damage caused by misuse or improper configuration
• You should create system backups before performing major changes
• Administrator privileges may be required for certain features

7. UPDATES AND SUPPORT

• Software updates are provided at Icebox Software's discretion
• Technical support is available through https://iceboxsoftware.org/support-portal.php
• Updates may require re-validation of your license
• Major version upgrades may require separate purchase

8. NO REFUND POLICY

ALL SALES ARE FINAL. Icebox Software does not offer refunds for any reason, including but not limited to:

• Change of mind or buyer's remorse
• Incompatibility with your system or hardware
• User error, misuse, or lack of technical knowledge
• Failure to read or understand system requirements
• Dissatisfaction with features or functionality
• Software conflicts with other applications
• Performance issues or bugs (we will work to resolve these through support)

Before purchasing, you have the opportunity to evaluate the software through Browse Mode (where available) and review product descriptions. By completing your purchase, you acknowledge that you have had the opportunity to evaluate the software and agree to this no-refund policy.

9. DISCLAIMER OF WARRANTY

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ICEBOX SOFTWARE DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR MEET YOUR SPECIFIC REQUIREMENTS.

10. LIMITATION OF LIABILITY

IN NO EVENT SHALL ICEBOX SOFTWARE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ICEBOX SOFTWARE'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE LICENSE.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you.

11. INTELLECTUAL PROPERTY

All rights, title, and interest in and to the Software (including but not limited to any images, photographs, animations, video, audio, music, text, and "applets" incorporated into the Software), the accompanying printed materials, and any copies of the Software are owned by Icebox Software.

12. TERMINATION

This license is effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any term of this agreement. Upon termination, you must destroy all copies of the Software and cease all use.

13. DATA COLLECTION & PRIVACY

Icebox Software products may collect anonymous usage data to improve product quality. We do not collect personal information without your consent. License validation requires transmitting your hardware ID to our servers. For questions about data collection, contact support.

14. GOVERNING LAW

This agreement shall be governed by and construed in accordance with the laws of the United States and the State of Texas, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Texas for any disputes arising from this agreement.

15. SEVERABILITY

If any provision of this agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16. ENTIRE AGREEMENT

This EULA constitutes the entire agreement between you and Icebox Software regarding the Software and supersedes all prior or contemporaneous agreements, understandings, and communications, whether written or oral.
